IPO Watch – Razorpay Moves Closer to Listing and Sitaram Denims Files Draft Papers

India’s IPO pipeline has two very different businesses making headlines. Bengaluru-based fintech company Razorpay has reportedly received market regulator SEBI’s approval for its planned initial public offering. Meanwhile, Rajasthan-based textile manufacturer Sitaram Denims India has filed its draft papers for an IPO.

The two stories come from separate corners of the economy, but they show the same larger trend. Companies are looking at public markets for the next phase of growth, debt reduction and expansion.

Razorpay’s IPO moves a step closer

Razorpay, a digital payments and financial-services platform, has reportedly received SEBI approval for an IPO estimated in the range of Rs. 5,000 crore to Rs. 6,000 crore. The final issue size, valuation, price band and listing date have not been announced.

The company filed its draft papers through the confidential route in June 2026. This route allows a company to keep certain IPO details private during the early regulatory-review stage.

Razorpay was founded in 2014 by Harshil Mathur and Shashank Kumar. The Bengaluru-based firm began by helping businesses accept online payments and has since expanded into payouts, payroll, business banking and lending-related services.

For Razorpay, an IPO could provide capital for expansion and give existing investors an opportunity to sell part of their holdings. It would also place more attention on the company’s revenue growth, profitability and ability to compete in India’s crowded payments market.

The fintech sector is highly competitive, with payment gateways, banks and large technology firms all trying to win merchant transactions. Razorpay’s advantage has been its broad product range for businesses, but public-market investors will look closely at customer growth, margins and the cost of building new services.

What SEBI approval means for Razorpay

SEBI approval is an important step, but it does not mean shares will begin trading immediately. The company still needs to complete the next stages of the issue process, decide the final offer structure and choose the right market window.

Reports suggest Razorpay may target a listing in the January-March quarter of 2027, subject to market conditions. Investors should treat the reported IPO size and timeline as provisional until official offer documents are publicly available.

Sitaram Denims files IPO papers

Sitaram Denims India has filed a draft red herring prospectus, or DRHP, with SEBI. The Bhilwara, Rajasthan-based company manufactures woven fabrics, including denim, cotton-spandex, rigid cotton and polyester-viscose blends.

The proposed IPO includes a fresh issue of 2.64 crore equity shares and an offer for sale of 44.71 lakh shares by promoters. In a fresh issue, the company receives the money raised. In an offer for sale, the proceeds go to the selling shareholders.

According to the draft papers (&  ZIP), Sitaram Denims plans to use part of the fresh-issue proceeds to repay debt, meet working-capital needs and build a readymade garment manufacturing facility in Bhilwara. The company has proposed allocating Rs. 40 crore towards debt repayment, Rs. 41.3 crore for the garment facility and Rs. 23.2 crore for working capital.

This expansion could help Sitaram Denims move beyond fabric production into finished garments. For instance, instead of supplying denim material to another company, it could eventually manufacture garments such as shirts and trousers itself.

What investors should watch

Sitaram Denims reported revenue of Rs. 242.4 crore and profit of Rs. 24.2 crore for the financial year ended March 2026, according to its IPO papers. Its borrowings stood at about Rs. 255 crore as of September 2026.

That makes debt reduction an important part of the IPO story. Investors will also watch how successfully the company develops its garment business, manages raw-material costs and competes with other textile manufacturers.

Both IPOs are at different stages. Razorpay has reportedly cleared a key regulatory hurdle, while Sitaram Denims has only filed its initial papers. Neither should be treated as an open investment opportunity until official issue dates, price bands and final prospectuses are released.
